Does anyone have any experience investing via PPM?

I have an opportunity to invest early in a company but I am unsure what the exit(sell) process is. I can't click the sell button so will I have to file with the SEC to sell?

I did this, and they were pretty clear that there was no way to immediately liquidate. That I could see my shares through them if I so desired but it might take a year plus.

Why not just ask?

Ask, but I can tell you liquidity is an issue. That's not to say it might not be a great investment.

What does the PPM say? As others have already said, liquidity is going to be an issue since it is a private placement.

Do you meet the suitability requirements for investing in a private placement?

I should get the PPM tomorrow. I will update when I have the info. I was asked if I wanted too invest over the weekend.

Yes, I fit the requirements. That's why they asked me to invest. It's a high risk deal but if they execute, it'll be huge.

I absolutely trust all involved. Very smart group. So at this point I figure, the real risk is losing out on this opportunity.

I've participated. A casino before it had a gaming license, some assisted living facilities and hog confinement buildings. All have worked out ok except the casino for me.

Medical devices. They are waiting for FDA approval for an imaging device. They have hired the top FDA guy to get it through. Also need funds to help pay for lawyers, etc to get ready to go public.

Aparently GE is interested in the some of the technology.

Update: Restricted Shares.

I have to hold them for a year. So I have a year to figure it out.



They'll go public at the end of the year so that should make it easier.

You mean "they" have expressed in writing their intention is to go public or possibly sell to a third party entrenched in the space IF things are proved out and approval is obtained, which is never an easy thing nor quick. Whether any of the above actually happens remains to be seen, smart guys or not. Been there, done that.
