Stock Buyout

My buddy works for Chiquita and they got bought by a private company. He had X amount of shares, let's say 1000. The company was bought for $15/share. He however has only gotten pretty much $8 /share and they divided it by units. Anyone have any insight on this? He has gotten basically 8800 for 15000 worth of stock

Maybe he wasn't fully vested in the stock program? How long has be been there?

There are two way which these things are paid out. The vested piece is paid through the broker (EX: ETRADE). The unvested piece is paid out through payroll since the unvested piece has never been taxed it should just be paid out as regular payroll. Therefore, maybe the payroll with the large payment has not went out yet.

Not saying this is the case but that is what my experience has been.

Was it an all-cash sale?

He may be getting $15/share value, of which $8 is cash and $7 is stock in the new company.

There may be multiple payout periods or methods.

Are you asking a tax question or a cash flow question? As far as taxes go, he would claim a gain or loss on the difference between the $8,800 and his basis. The full value of the stock is irrelevant.

I got a payout that was done in three payments over a period of 18 months.
