There is an offer and they have contracted a major firm to do valuation. Can I safely assume that we are going to be acquired or does bringing in the consultant firm not mean much?

M&A is a rollercoaster. You can expect there to be numerous ups and downs before a deal is actually sealed. Hiring a consultant is early in the confirmatory diligence process, but if the company wants to sell and you have a buyer wanting to buy, there's a good chance a deal will happen. Deal flow is somewhat choppy at present and a lot of people are trying to place capital. With interest rates still near historical lows, buyers have more flexibility than in the past. I wouldn't freak out, but you should assume it's a real possibility.

You can safely assume the owners are interested in selling for the right price but not really anything more than that.

Even if they do sell it may or may not have much impact on you. For example, if you're one of the people doing work that results in more revenue you're probably fine. If you're doing backoffice work (HR, accounting, corporate IT) you might want to at least make sure your network isn't stale but you might be kept on anyway. Or not.

I doubt it's actually a "valuation". They do valuations to value equity awards. Most likely a buy side Diligence team.

As far as your job, how big is the company? If you are platform size (>20million in EBITDA) you should be fine. If you are smaller than that, unless you are in sales or manufacturing, good luck.

You’ll probably be fired after they found out you disclosed the deal to tigerdroppings

It means they are thinking about selling. So either they want to sell... or someone made them an offer that they have to at least look at.
