I have a client that has a single member LLC in MS. He wants to transfer LA rental property to the LLC instead of creating a new LLC in LA. Do I need to register the LLC as a foreign LLC in LA? I assume I do, but I am not sure if LA requires me to do anything else.

TIA

I certainly would. I don't think you technically have to. However, if you don't, you could be locked out of court.

LA has a little know law that companies who are doing business in the state without authority can't sue in state courts. Owning rental real estate I believe is within the listed activities which constitute "doing business".

You are correct that you'd just need to get the business authorized in LA, which basically entails finding a LA registered agent.

I'm sure your client would be thrilled to know he's paying you $200/hr to ask the OT his legal questions
