How Many Investors Can One Take on as Part of an LLC Before Filing SEC?

From past research I've read 35 unaccredited investors can be approached. I don't know if that translates to ownership units as well. I know that the SEC regulations have been loosened recently, however.

Either 499 or 299, depending on the size of the company.
