That ref wasn't telling the other one not to throw a flag. He was trying to get Sean Peyton to get off the field and away from the other ref.

He was doing both. Yelling at Payton to stay back and then he clapped his hands together and said something to the other ref. The other ref nods his head and appears to reply "Bang Bang" implying that the responsible official told him the hit was on time with the ball.
