I would imagine so. But I'd talk to your outgoing boss about it a little more. His bosses might think you lack drive if you don't even apply.

This. It's fine if you don't want the job, but be aware that turning it down may have some consequences. They may see you as not having ambition, or not being a team player. Especially if they are indirectly offering it to you, which it sounds like they might be.
