You sound like typical paranoid, insecure college guy. There are other aspects of her life besides you. If this guy is going to help her make good grades, then let her be. If she ends up together with him on some off chance, then you and her weren't meant to be anyways.
If you are smart, you won't make a big deal out of this. That is the best way to piss her off and cause issues.

BS, I used this ploy with great success while in college, also, just about 100% of the time when I saw friends that SOs were doing it, they're SO ended up banging the study partner
