I feel like Spain would definitely have the advantage at keeper. Brazil would have an enormous advantage at forward. Defense and midfield are a little harder to determine. I would probably take Spain's bench, but I don't remember enough of the Brazilian bench players to feel confident about that.
Spain might be more balanced, but that Brazil team had ridiculous star power. I'd expect the 2002 Brazilians to win more than they lose if the teams played ten times.

Spain just went the whole of Euro 2012 conceding one goal, they've conceded 0 goals in knockout football since 2006.
