Really easy to perform combos that do over 50% damage. Air combos into off the ground supers with a full second to react for many of the characters.
New control scheme - Triangle dashes are no longer performed the same way. Less room to freestyle with the new dedicated launch button.
Xfactor - Worst addition to MvC3. No reason to care if your characters die because you will be better off with a stronger Xfactor. In MvC2 you would do everything possible to try to keep all of your characters alive because it was so much easier to fight with an assist.
Phoenix - Dark Phoenix with Xfactor is broken. Can easily kill off 3 full life characters, as 1 combo will kill each character she touches. Given that she's already one of the hardest characters to block in the game, it's easy to get off 3 combos.
Sentinel - Easy 100% combos. Level 3 super armor when he's doing an attack makes it really hard to attack him.
Online Play - you have to adjust your input timings based on the amount of lag. In MvC2, you would perform combos at normal speed, and if you timing was right it would come out on screen regardless of the amount of lag. Your timing will be off when switching between online and offline. Also, no more observer mode in game lobbies.
DLC - charging $10 for 2 new DLC characters (Jill, Shuma-Gorath) a month after release, even though they are already on the game disc.
Other than X-factor, which I totally agree with you on, these don't sound like fundamental problems. Things like new control schemes or damage counters are personal preferences, not objective problems. The lag will almost certainly get better. Servers tend to be problematic at release.

They would have to rewrite the netcode for the lag to get better.. the way it recognizes inputs is different. Maybe with a patch?

Which is the exact opposite of MvC2. You have to play that game for months to even get a win off a good player, and years to be really good.
