I mean I doubt a 40% raise is going to be the “lets keep her around for a little while to find her replacement” type offer.

Unique situation for sure. Several questions immediately come to mind:
Is she happy where she works? Was she looking for employment elsewhere?
It sounds like this counter-offer is a promotion. Why is this position opened now? Has someone vacated the position? or is it a new position?
Is the university position one where you'd have to move your family? Are you guys happy where you live? How does the cost of living compare? Any other lifestyle impacts?
Is there more upward mobility for your wife's career at one place versus the other?
Is she happy where she works? Was she looking for employment elsewhere?

I don't know anybody that says this really.... Sounds like a no brainer to me. Only downside I can see is if she leaves in the next 5 years there will probably be sour grapes because of the raise she was given.

Great Questions.
She is happy, was not looking... The Audit VP at the university contacted her via linkedin sunday night and she had an offer tuesday.
Her position now she reports direct to general counsel, she started the internal audit program herself. There has never been a director. She has a very good relationship with her boss and her boss paid her a NYC forensics mgr salary to move here (lehigh valley, PA)...
It is much cheaper here than almost anywhere she can work , but opportunities are also limited outside of her present employment without moving.

This if she stays put (though don't mention the raise). She should be very gracious to the university for the opportunity, say it is not right for her at the time, but ask that they keep her in mind for future opportunities.

I don't think anyone says this, what people say is that if you tell your boss you got a job offer elsewhere in order to hopefully get a raise you better do it with plans of walking if they say no.
If it happens like you say, no one can blame your wife for leaving. The company has to make a decision to let her go or offer better pay.
As said, a couple things to keep in mind are her long term plans, if anyone will expect an impossible amount of work to be completed with the new raise, etc.

The only thing I didn’t see mentioned: does the university benefits package offer free tuition for your children? (Yes, some do). Dunno how close your kids are to attending college, or whether the institution in question would be a good fit for them. If it’s a private university and it’s offering dependent tuition waivers, check to see if it participates in the tuition exchange program. Thus, the kids could use their waivers at one of the participating exchange institutions.
Depending on the size of your family, this kind of benefit can be incredible. Some schools even offer dependent waivers for certain graduate school programs.
