Questions on LLC and Business Venture

I am contemplating entering into a small cooperative business venture with individuals from 2 other states. I am in Louisiana and the other two people are in North Carolina and Kentucky. The goal of this venture is to publish certain licensing specific course work and allow a third party to distribute this course work. I am not sure what state would be the best place to set up an LLC for this venture. Can anyone recommend a book or a website to get more information on joint ventures or such.

Delaware would be a suggestion and Google the advantages or disadvantages. Even as a non-resident of the state
