Starting an LLC advice

How would you suggest I go about starting an LLC?

Is it easiest to use a site like Legal Zoom or should I find a person locally to do this?

You really don't need to do much of anything other than file with the state and pay your fees. Can all be done online in a couple of hours.

Do you know if Louisiana allows people to register and pay online or is it a print and mail system?

I am under the strong presumption that LA allows you to pay online.

As another poster stated, it's pretty simple:

1. Check Sec of State Website to see available name
2. Purchase name rights
3. Apply for EIN # on irs.gov
4. Pay fee for LA
5. Begin business

I had a family attorney do mine, but I also believe the State allows you to do it all online.

If you are uncomfortable, talk to a friend that is an attorney, or a CPA. They should be able to help you out and if it's a good enough friend should do it for a case of beer as it's pretty straightforward (if they know what their doing).

In Louisiana you can literally do it in under 10 minutes if you have all of the information needed. I would suggest going that route for any sole owner llc. Anything over that you will probably want to get an attorney involved for fleshing out the Articles of Organization and an operating agreement.

Yea this is something I'll be doing on my own. Just wanted to set one up for taxes and personal assets.

LA has an online system, but let me caution you two things:

1) It's great if you have a simple easy situation, but if you need to put any specific provisions or special issues, I'd do it via paper.

2) Several people I know that have done online, have accidentially signed up for things like withholding accounts and sales tax accounts. Just watch out for that. It's a real pain to cancel those accounts.

If you need a detailed operating agreement because of multiple members you need an attorney. Otherwise, if you are just filing go to geauxbiz and file electronically. It will only cost $105.

Yep. People who do these on the cheap sometimes make mistakes like setting them up "50/50" with a co-member, but no provision for a tiebreaker if they disagree on an issue.

A professional who handles business work should be able to prepare an operating agreement that will provide for such matters (plus things like restrictions on transfer of interests, buyouts, capital contribution requirements, dissolution procedures, etc.) and avoid fights and lawsuits down the road.
